1. AGREEMENT TO TERMS

These Terms and Conditions of Use (“Terms”) govern your access to and use of all programs, products, services, and content provided by Pursue What Matters, LLC (“Company,” “we,” “us,” or “our”), including our website, online courses, and life-coaching services (collectively, the “Offerings”).

By accessing this website or purchasing or participating in any Offering, you agree to be bound by these Terms. If you do not agree, do not use this website or purchase or participate in an Offering.

We reserve the right to update these Terms at any time. Any updates will be reflected by the “Last Updated” date above. The Terms in effect at the time of your purchase will govern that purchase unless a change is required by law.

2. USE OF WEBSITE AND OFFERINGS

You agree to use this website and our Offerings only for lawful purposes.

You must be at least 18 years old to purchase or participate in our Offerings unless we expressly agree otherwise in writing and obtain any legally required consent from a parent or guardian.

Use of this website is at your own risk. Although we take reasonable steps to maintain its functionality and security, we do not guarantee uninterrupted access or error-free performance.

3. INTELLECTUAL PROPERTY

All content on this website and within our Offerings—including text, videos, course materials, worksheets, coaching resources, graphics, branding, and design—is owned by Pursue What Matters, LLC unless otherwise stated.

You are granted a limited, non-transferable, non-exclusive, revocable license to use purchased materials for your personal, non-commercial use.

You may:

Access and use purchased materials for your personal use.

Download or print materials when we make them available for that purpose.

You may not:

Share your login credentials or access with another person.

Share, distribute, resell, sublicense, or commercially exploit our content.

Reproduce or republish our materials without written permission.

Modify our materials or create derivative works for distribution or commercial use.

Claim our content or materials as your own.

Violation of these provisions may result in termination of access and, where appropriate, legal action.

4. ONLINE COURSE TERMS: CREATE SPACE

When you purchase Create Space, you receive a limited license to access the course and its materials for your individual, personal use.

You may not share your login credentials, course access, or course materials with another person. Each participant must purchase their own access unless we expressly authorize otherwise in writing.

We reserve the right to suspend or revoke access without a refund if we reasonably determine that course access or materials have been misused, shared without authorization, or used in violation of these Terms.

The refund policy for Create Space is stated in Section 6 below.

5. LIFE-COACHING SERVICES

Nature of Coaching

Life coaching is a collaborative, client-directed personal-development service intended to help you clarify goals, explore possibilities, identify obstacles, and take meaningful action.

Coaching is not therapy, counseling, medical care, mental-health treatment, legal advice, financial advice, or any other licensed professional service. Coaching does not diagnose or treat any medical or psychological condition.

You remain responsible for your own decisions, actions, well-being, and results. If you need medical, psychological, legal, financial, or other professional assistance, you should consult an appropriately licensed professional.

If you are experiencing a medical or mental-health emergency, contact local emergency services or an appropriate crisis-support provider. Do not rely on coaching services for emergency assistance.

Six-Session Coaching Package

The six-session life-coaching package includes six individual coaching sessions for the package price displayed at checkout or otherwise agreed to in writing before purchase.

Session dates and times will be scheduled by mutual agreement between the coach and client.

The money-back guarantee applicable to this package is stated in Section 6 below.

Client Participation

Coaching works best when the client participates honestly and consistently. By purchasing coaching services, you acknowledge that you are responsible for:

Attending and actively participating in scheduled sessions.

Communicating honestly about your goals, challenges, and progress.

Making a genuine, good-faith effort to complete mutually agreed action steps.

Taking responsibility for decisions and actions made between sessions.

We do not guarantee that you will achieve a particular personal, professional, relational, spiritual, or financial outcome.

6. PAYMENTS, TRIALS, AND REFUNDS

Payments

Payments are processed securely through Stripe or another payment processor identified at checkout.

Payment is required at the time of purchase unless a payment plan or different arrangement is expressly offered. If you select a payment plan, you agree to make all scheduled payments, subject to any refund guarantee or cancellation right described below or otherwise required by law.

Create Space: 10-Day Trial and Refund Policy

We offer a 10-day risk-free trial period for the Create Space online course.

You may request a full refund within 10 calendar days of your original purchase date.

To request a refund, email [email protected] before the end of the 10-day period.

After the 10-day period, the Create Space purchase is nonrefundable except where a refund is required by applicable law.

If you selected a payment plan and do not request a refund within the 10-day period, you remain responsible for all remaining scheduled payments.

This 10-day policy applies only to Create Space. It does not apply to the six-session coaching package.

Six-Session Coaching Package: 100% Money-Back Progress Guarantee

We stand behind our six-session coaching package. If you complete all six sessions, genuinely apply yourself to the coaching process, and still do not believe you made meaningful progress toward your goals, you may request a 100% refund of the amount you paid for the coaching package.

To qualify for this guarantee, you must:

Complete all six coaching sessions.

Participate honestly and in good faith during the sessions.

Make a genuine effort to complete or act on the mutually agreed action steps between sessions.

Email your refund request to [email protected] within 14 calendar days after your sixth completed session.

Briefly explain the efforts you made and why you do not believe the coaching helped you make meaningful progress toward your goals.

“Meaningful progress” does not require fully achieving every goal. Whether you experienced meaningful progress is based on your honest, good-faith assessment of the coaching experience.

If these conditions are satisfied, we will refund 100% of the amount you paid for the six-session coaching package, generally to the original payment method. We will initiate the refund within 10 business days after receiving the completed request, although your financial institution may require additional processing time.

If the package was purchased through an approved payment plan, we will refund the coaching-package payments already made and cancel any remaining package payments.

The guarantee applies after completion of the full six-session package. Individual coaching sessions, missed sessions, and partially completed packages are not refundable under this guarantee, except where otherwise agreed in writing or required by law.

This guarantee is a refund guarantee and is not a promise that coaching will produce any particular result.

Chargebacks

If you have a concern about a payment or an Offering, please contact us first at [email protected] so we have an opportunity to address it.

Nothing in this section limits any dispute or chargeback right that cannot legally be waived.

7. DISCLAIMER

Our website, courses, coaching services, and related content are provided for educational, informational, and personal-development purposes.

Except for the express refund guarantees stated in Section 6:

We do not guarantee any particular result.

Results vary from person to person.

Your results depend on factors including your goals, effort, consistency, decisions, personal circumstances, and willingness to act.

Testimonials and examples describe individual experiences and do not guarantee that you will experience the same results.

You remain solely responsible for your decisions, actions, and outcomes.

Pursue What Matters, LLC and its coaches are not acting as your physician, therapist, counselor, attorney, accountant, financial adviser, or other licensed professional through the provision of an Offering.

8. ASSUMPTION OF RISK

By using our website or participating in an Offering, you understand that personal development and coaching may involve discussing challenging subjects, examining personal beliefs, making decisions, and taking action.

You voluntarily assume responsibility for your participation and for the choices you make based on the information, questions, exercises, or perspectives presented through an Offering.

Nothing in this section excludes responsibility that cannot legally be excluded.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Pursue What Matters, LLC and its owners, employees, contractors, coaches, and representatives will not be liable for indirect, incidental, special, exemplary, or consequential damages resulting from your access to or use of an Offering.

This may include, without limitation:

Loss of income, profits, business opportunities, or data.

Emotional, personal, relational, professional, or financial outcomes.

Decisions or actions taken by you following participation in an Offering.

Technical issues, interruptions, or loss of website access.

Acts or omissions of third-party service providers.

To the fullest extent permitted by law, our total liability arising from an Offering will not exceed the amount you paid for the specific Offering giving rise to the claim.

Nothing in these Terms limits liability or consumer rights that cannot legally be limited or waived. The refund guarantees in Section 6 remain available according to their stated terms.

10. PRIVACY AND COMMUNICATIONS

Information submitted through general website forms, public comments, or unsolicited communications should not be considered confidential.

We will treat information shared during private coaching sessions as private and will not intentionally disclose it to third parties without your permission, except:

When disclosure is required by law, court order, or valid legal process.

When reasonably necessary to protect the safety of you or another person.

When necessary to investigate fraud, abuse, or a violation of these Terms.

When shared with service providers that assist us in operating our business and are expected to protect the information.

When you authorize the disclosure.

Coaching communications are not protected by the legal privileges that may apply to communications with licensed therapists, physicians, or attorneys.

Our collection and use of personal information are also governed by our Privacy Policy.

11. THIRD-PARTY SERVICES

We may use third-party providers to operate our business, including:

Stripe for payment processing.

Mastermind.com for course or website hosting.

Video-conferencing, scheduling, email, and other business-service providers.

We are not responsible for the availability, performance, security, or independent policies of third-party providers. Your use of their services may also be governed by their respective terms and privacy policies.

12. TERMINATION

We may suspend or terminate access to our website or an Offering if you materially violate these Terms, misuse our content, engage in abusive or unlawful conduct, or threaten the safety or well-being of another person.

When reasonably practicable, we will provide notice of the reason for termination.

Any refund following termination will be determined under the applicable refund policy, the circumstances leading to termination, and applicable law.

13. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Pursue What Matters, LLC and its owners, employees, contractors, coaches, and representatives from third-party claims, damages, liabilities, or reasonable expenses arising from:

Your unlawful use of the website or an Offering.

Your material violation of these Terms.

Your infringement of another person’s rights.

Content you submit, publish, or distribute through our website or Offerings.

This provision does not require you to indemnify us for our own unlawful conduct or for liability that cannot legally be transferred to you.

14. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

If applicable consumer law in your place of residence grants you protections that cannot legally be waived, these Terms do not deprive you of those protections.

15. DISPUTE RESOLUTION

Before initiating legal action, you agree to make a good-faith effort to resolve the dispute informally by contacting us at [email protected] and providing a reasonable opportunity for us to respond.

This informal-resolution requirement does not prevent either party from seeking urgent relief or exercising a right that cannot legally be waived.

16. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary. The remaining provisions will continue in effect.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any written purchase or coaching agreement applicable to a particular Offering, constitute the entire agreement between you and Pursue What Matters, LLC concerning the website and Offerings.

If a separate written agreement expressly conflicts with these Terms, the separate agreement will control only with respect to the subject of that conflict.
